Platform terms of service
The agreement between you and Push: what the software does, what it costs, what each of us is responsible for, and what happens to your data if you leave.
1. Who this is between
You: the coach, trainer or business that holds a Push account, and anyone you allow to act for you in it. Push, we or us: VERSATECH LTD, a company registered in England and Wales, company number 17298768, whose registered office is at 1 Watson Close, Wellingborough, United Kingdom, NN8 5UH. VERSATECH LTD provides the Push software. You can reach us at support@versatech.uk.
Your clients are the people you coach, or who enquire about or apply for your coaching, through Push. This agreement covers your use of Push. It does not cover the coaching you deliver to your clients: that is a separate contract between you and each client, and Push is not a party to it. Your clients have their own agreement with us for their Push account, which you can read in the client app.
You use Push for your business. By accepting this agreement you confirm you are acting for the purposes of your trade, business or profession, and not as a consumer. This agreement is written on that basis.
2. Your account
You confirm you are 18 or over. You confirm this by ticking a box when you sign up. We do not check it any further.
The details you give us, and the details you publish on your public page, must be true, and you must keep them up to date.
You are responsible for your account, for keeping your sign-in details secure, and for everything done in your account and your workspace, including by anyone you invite into it. If you add other coaches to your workspace, they can see your workspace's client records, so you are responsible for who you give that access to and for what they do with it. The workspace owner and admins manage packages, prices and payment settings. A coach can act on payments and leave requests only for the clients assigned to them. Tell us straight away if you think someone else has got into your account.
3. What Push is, and what it is not
Push is software. It gives you the tools to run your coaching business. It does not coach anyone.
- Push does not provide personal training, coaching, exercise programming, nutrition or dietary advice, medical or physiotherapy advice, or any other health service, and does not supervise anything you do.
- Push does not employ you, does not act as your agent, and is not in partnership or a joint venture with you. You are not our worker or our representative, and you must not say that you are.
- Push does not check your identity, qualifications, insurance, competence or right to work, and does not vet, approve or recommend you to anyone. Appearing on Push, or in the coach directory, is not an endorsement.
- Push is not a payment service. Your clients pay you, through your own Stripe account or however else you arrange (section 7). We never hold your clients' money.
4. What Push provides
A platform for running a coaching business: client records, onboarding, training plans and nutrition plans, check-ins, progress photographs and measurements, an injury log and body map, messaging, scheduling, packages and client payments, a public page and enquiry capture, notifications and reporting. Features change. We may add, alter or withdraw them, and we will give reasonable notice before removing something you depend on.
You build training plans and nutrition plans yourself, from the libraries Push provides (a roster of meals, an ingredient list, an exercise library, workout templates and the body map) and from anything you add to them. Push works out calorie and macronutrient targets, portion sizes and body fat estimates by arithmetic from the figures you and your client give it, and suggests sets, repetitions and rest from the goal you choose. It flags foods and exercises that clash with the allergies, intolerances, diet, injuries and limitations a client has declared. Progress-report summaries are the words you write.
These are tools, not professional advice. The figures are estimates. The flags depend on what a client has declared and on how the libraries are labelled, so they can be wrong or incomplete, and the absence of a flag does not mean something is safe. The body map, muscle pictures and exercise illustrations are general drawings, not an assessment of any person. You are responsible for checking anything before you pass it on to a client, and for the judgement you exercise. Nothing reaches a client until you assign or share it. Push gives no warranty that any meal, exercise, plan, figure or report is accurate, safe or suitable for any person.
Push does not use AI to write a client's training plan, nutrition plan or report summary, and does not send your personal data or your clients' personal data to any AI provider. The Push team uses an AI tool to help draft and illustrate content for Push's own libraries: meal recipes, exercise details and the pictures of meals and exercises. Nothing about you or your clients is sent to it. Progress photographs are cut out from their background on our own servers, by software we run ourselves; they are not sent to anyone else for it.
5. Rules built into Push
These apply to every workspace, and you cannot switch them off:
- One trainer at a time. A client can be coached by one trainer on Push at a time. You cannot take on someone who already has a trainer on Push until they have left that trainer.
- Leaving. A client can ask to stop coaching with you from the client app. It takes effect when you approve it, or 14 days after they asked, whichever comes first, unless the client withdraws the request. Replying to talk it over does not stop the 14 days. When it takes effect, a recurring card payment stops at the end of the period the client has already paid for. A client on a rolling card plan can also stop their card payments from Stripe's card page; a client on a plan with a fixed term cannot, and has to ask you.
- Returning clients. Once a client has left you, you cannot restore them yourself. They come back only by accepting a new invite from you. A client you archived yourself, who never left, can be restored.
- Health information. Clients must be 16 or over. They give a separate consent to their health information, injuries, measurements and photographs being processed. If a client withdraws it, Push stops you recording new health information, measurements or photos for them until they give it again. What you already hold is not deleted by the withdrawal.
- Your client records stay with you. If a client leaves you, or deletes their own Push account, the record of your coaching with them stays in your workspace: their onboarding answers, check-ins, measurements, injuries, photographs, messages and payments. Their sign-in and their profile picture are deleted, and any recurring card payment of theirs is cancelled.
- The client terms. Your clients accept the coaching terms of service and liability waiver in the client app. Where those documents describe how coaching through Push works (for example leaving, one trainer at a time, late cancels, the 14-day right to cancel and the use of their photographs), you agree to coach on that basis, and nothing you agree with a client may take away what those documents give them.
6. Your responsibilities as a trainer
You are solely responsible for the coaching you deliver and for everything you, your team and anyone working for you say or do for your clients, inside Push or outside it. In particular, you must:
- hold, and keep, the qualifications, registrations and licences your work requires where you and your clients are, and work only within them;
- hold, and keep, public liability insurance and professional indemnity insurance adequate for the coaching you deliver, and show us proof if we ask;
- screen each client before you train them, read and act on their health answers, PAR-Q, injuries and anything else they tell you, and ask them to get medical clearance where their answers call for it;
- give exercise, nutrition and lifestyle guidance that is safe and suitable for the individual, and never give advice outside your competence, including medical, physiotherapy, dietetic or psychological advice you are not qualified to give;
- supervise and coach technique where needed, and have a plan for emergencies at any session you run;
- make clear to each client, before they agree to buy, what your coaching includes, the price and how often it is charged, any deposit, the first payment date, whether and how it renews, how it ends, your cancellation, late-cancel and refund terms, and any other term you rely on. Push shows the terms you set on the package; you are responsible for them being complete, accurate and lawful;
- comply with the law that applies to you and your coaching, including consumer law (such as the Consumer Rights Act 2015 and the Consumer Contracts Regulations 2013, and the 14-day right to cancel they give your clients), data protection law, advertising rules, tax and health and safety law;
- get a client's separate, written permission before you use their photographs, results or story in marketing, on social media, as a testimonial or anywhere public. The permission they give in Push is for coaching them, not for that.
7. Your clients' payments
Stripe and who sells
Client card payments are processed by Stripe through your own Stripe account, which you connect from Push. Payment processing services for coaches on Push are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (together, the Stripe Services Agreement). By connecting a Stripe account you agree to the Stripe Services Agreement, as it is updated by Stripe from time to time, and you authorise Push to share information about you and your transactions with Stripe to run that service.
You are the seller to your clients and the trader under consumer law. You set your packages, prices and terms. You authorise Push to create checkouts, card subscriptions, payment links, refunds and other instructions on your Stripe account when you, your team or your client use the features that do so, and to act on what Stripe tells us about them.
How Push carries out your terms
Push applies the terms you set, as you set them:
- Deposits and first payments. A deposit you add is a charge of its own, due on the plan's start date. A first payment date you choose is when the plan's own charges begin.
- Card subscriptions charge the price agreed for that client, on the schedule shown, until the plan ends or is stopped as section 5 describes. If you set a plan to renew, it renews for a further term on the same terms unless you or the client stop it first.
- Payment links you send stop working after 30 days, or sooner if you withdraw them.
- Pauses move the plan's end and its later charges back by the length of the pause. A charge that falls in the pause is collected after it, not dropped.
- Late cancels and extra sessions. A late-cancel rule you set on a package is applied by itself: a session the client cancels inside that window counts as used. Sessions past the allowance are booked as extras at the price you set.
- Write-offs, refunds and voids are your decision, and Push records them as you make them. Writing off a charge does not refund anything already paid. A refund is made from your Stripe account.
It is for you to make sure the terms you set are fair and lawful, and that what you charge matches what you agreed with each client. Push does not decide, and is not responsible for, whether a client owes you money, whether a charge, deposit or late-cancel rule is fair, or whether a client is entitled to a refund.
Refunds, disputes and chargebacks
You are responsible for refunds, disputes and chargebacks, for responding to them, for Stripe's own fees (including dispute fees), and for any tax due on what you sell. A dispute or chargeback is taken from your Stripe account, not paid by Push. Where a client cancels within their 14-day cancellation period, it is for you to refund what the law requires.
Push's platform fee
Push may charge a platform fee on client card payments, which Stripe deducts from each payment. The rate is the one set for your plan and shown to you in Push. It is worked out when each payment is taken, using your plan at that moment, so a change never applies to a payment already taken. We will give you at least 30 days' notice before introducing a fee or increasing it. If you refund a payment, the platform fee on the refunded amount is returned too.
8. Your Push subscription
Your free trial
A new account gets one free trial of 14 days, with no card. It does not turn into a paid subscription by itself. When it ends, your workspace becomes view-only until you subscribe. You can still read everything, reply to your clients' messages, review check-ins they send, and take and refund payments. You cannot add or change clients, enquiries, check-ins, sessions, plans or packages. Your clients keep their access, and nothing is deleted.
Each person or business gets one free trial. If you subscribe during your free trial, you are first charged on the day the free trial would have ended: subscribing does not add a second trial. If you have paid Push before, or your free trial has already ended, a subscription is charged from the day you take it out.
Your subscription
Your plan, its price and its billing period are the ones shown when you subscribe. Subscriptions are paid in advance through Stripe and renew automatically at the end of each period, at the price then in force, until cancelled. We may change the price of a plan; we will tell you at least 30 days before a change applies to you, and you can cancel before it does. Prices are shown with any VAT that applies.
If a payment fails, Stripe retries it and you keep full access for up to 14 days. If it still has not been paid, your workspace becomes view-only as described above, and the amount stays owed.
You can cancel at any time from Membership. The cancellation takes effect at the end of the period you have paid for, and your workspace then becomes view-only. A view-only workspace is kept, with everything in it, until you close your account or ask us to delete it. We do not delete it on a timer.
Closing your account (section 17) ends your subscription immediately, without a refund for the rest of the period, and cancels your clients' recurring package payments.
Fees are not refundable, and we do not refund part-used periods, except where the law requires it.
9. Data protection: who is responsible for what
For your clients' personal data in your workspace (their contact details, onboarding and health answers, injuries, measurements, photographs, check-ins, messages, bookings, payments and the records you keep about them) you are the controller and Push is your processor. You decide what to collect and why.
That makes several things your responsibility, not ours: having a lawful basis for collecting your clients' data (and a condition for their health data), giving them the privacy information they are entitled to, obtaining and evidencing consent where consent is what you rely on, deciding how long you keep their records, and responding to their requests for access, correction or erasure. Push provides the tools; it does not perform the obligation. Our privacy policy in the client app describes how Push processes client data, but it does not replace your own privacy information.
Processing terms
Where we process your clients' personal data for you, we will:
- process it only to provide Push to you, on your documented instructions (which are this agreement and the way you use Push), unless the law requires otherwise, in which case we will tell you first unless the law forbids it;
- make sure the people who process it are bound to keep it confidential;
- keep it secure with appropriate technical and organisational measures, including encryption in transit and access controls;
- use only the sub-processors named in our privacy notices. You authorise them. We will tell you, by updating those notices, before we add or replace one, and you may object, and close your account if we cannot resolve it. Each sub-processor is bound by data protection terms equivalent to these;
- help you, as far as we reasonably can through Push's tools, to answer your clients' requests and to meet your obligations on security, breach notification and impact assessments;
- tell you without undue delay after we become aware of a personal data breach affecting your clients' data;
- delete it when you close your account, as section 17 describes, except where the law requires us to keep it, after you have had the chance to export it;
- give you the information you reasonably need to show we meet these terms. Any audit is at your cost, on reasonable notice, no more than once a year, and subject to confidentiality.
Where a sub-processor is outside the UK, the transfer is made under UK adequacy regulations, the UK Extension to the EU–US Data Privacy Framework, or the UK International Data Transfer Agreement or Addendum.
Where Push is the controller
Push is the controller for what it decides itself: each client's own Push account and sign-in, the coach directory and applications and enquiries until the person becomes your client, the rules in section 5, the records of what people agreed to, security and error logs, and the usage statistics we keep about how the apps are used. Those are covered by the privacy policy your clients are shown in the client app.
We may use information about how Push is used to run, secure and improve Push, in a form that does not identify you or your clients when we use it beyond that.
For your own personal data as the account holder, Push is the controller. That is covered by the trainer privacy notice.
10. Acceptable use
You must not use Push, or let anyone use it, to:
- store or send anything unlawful, false, misleading, abusive, harassing, discriminatory or obscene, or that infringes someone else's rights;
- record consent, a waiver or a health declaration on a client's behalf without their knowledge, or misrepresent what a client has agreed to;
- upload a client's photograph or health information without their agreement, or any photograph of a person under 16;
- refuse or delay a client's request to stop coaching in order to keep charging them, or charge a client anything they did not agree to;
- make medical claims, or promise results, in your public page, your packages or your messages;
- send marketing or bulk messages to people who have not agreed to receive them;
- take clients you met through Push off the platform to avoid our fees or rules, where that breaks this agreement;
- attempt to access another workspace's data, probe or test the service for vulnerabilities, overload it, scrape it, copy or reverse-engineer it (except where the law allows), or resell or share access to it.
11. Content and intellectual property
Your content (your plans, templates, forms, notes, public page, media and client records) remains yours. You grant Push a worldwide, non-exclusive, royalty-free licence to host, copy, process, adapt (for example, resizing a photograph or cutting it out from its background), transmit and display it as needed to run Push for you and your clients, to show your public page and directory listing to the public, and to keep the backups and records this agreement describes. You confirm you have the right to give that licence.
Push itself, including the software, the apps, the design, the libraries of meals, ingredients, exercises and templates, the body map, the pictures and illustrations and everything else we provide, belongs to us or our licensors. We give you a non-exclusive, non-transferable licence to use it, for your coaching business, while this agreement lasts. You may share what you build from our libraries with your clients through Push.
If you send us ideas or feedback, we may use them freely.
12. Other services
Push relies on services run by others, including Stripe, Google, Mapbox, email delivery and the push notification services of browser and phone makers. We are not responsible for those services, their availability or their terms. Your use of Stripe is governed by your agreement with Stripe.
13. Suspension
We may suspend or restrict your account, or any part of it, straight away if we reasonably believe you have broken this agreement, that your account is being used for fraud or abuse, that a client is at risk of harm, that there is a security threat, or that the law requires it, and while your subscription is unpaid. We will tell you why unless we are prevented from doing so, and restore access when the reason has been dealt with.
14. Availability
We work to keep Push available and to keep your data safe, but Push is provided as it is and as available. We do not promise it will be uninterrupted, error-free or suitable for any particular purpose, and we exclude every warranty and term not set out in this agreement, as far as the law allows. Keep your own copies of anything you cannot afford to lose: Settings › Your data lets you export it.
15. Liability
Nothing in this agreement limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law.
Subject to that:
- we are not liable for the coaching you deliver, for anything you or your team tell or do for a client, for the result of any plan, figure, flag or report you pass on, for any client's injury or illness that is not caused by our own negligence, or for any dispute between you and a client, including about payments, refunds or cancellations;
- we are not liable for loss of profits, revenue, business, contracts, goodwill or anticipated savings, for loss or corruption of data (other than the cost of restoring it from our backups), or for any indirect or consequential loss, however it arises;
- we are not liable for anything caused by events outside our reasonable control, including failures of the services in section 12;
- our total liability to you for everything arising under or in connection with this agreement, in any twelve-month period, whether in contract, tort (including negligence) or otherwise, is limited to the greater of the fees you paid us in that period and £100.
16. Your indemnity
You will indemnify VERSATECH LTD, and its directors and staff, against any claim, loss, liability, penalty, fine and reasonable cost (including legal fees) arising from:
- the coaching or any other service you or your team provide, including any claim by a client or anyone else for injury, illness, loss or damage;
- your content, your public page and your packages and prices;
- any payment, refund, dispute, chargeback or tax connected with what you sell;
- your breach of this agreement, or of the law, including data protection law as the controller of your clients' data.
We will tell you promptly about any claim this covers, let you take reasonable part in defending it, and not settle it without talking to you first.
17. Ending the agreement
You may close your account at any time from Settings. We may end this agreement on 30 days' notice for any reason, or immediately if you seriously or repeatedly break it, do not pay what you owe us, or become insolvent.
Before you close your account:
- archive or end your clients and remove any team members. Push will not close an account whose workspace still has active clients or members;
- download anything you need. Settings › Your data gives you your account and your workspace's records: clients, check-ins, measurements, training plans, nutrition plans, forms, bookings, packages and payments, with links to download photos. The photo links only work while your account exists;
- tell your clients. Push does not notify them for you.
Closing is immediate and permanent. Your subscription ends without a refund, your clients' recurring package payments are cancelled, and your workspace is deleted with your clients' records and photos in it. Your clients keep their own Push accounts. We keep payment records for at least 6 years, as tax law requires, and the record of which terms you and your clients accepted. Deleted data can remain in our encrypted backups for up to 7 days, and deleted files in encrypted storage versions for up to 90 days.
Deleting a single client removes them from your workspace, and any recurring package payment of theirs stops at the end of the period they have already paid for. Their record is erased when you close your account, or sooner if you or the client ask us to erase it.
Sections 6, 7, 9, 11, 15, 16, 19 and 20, and anything you owe us, survive the end of this agreement.
18. Changes to these terms
We may change these terms. When we make a change that matters, we will tell you in the app or by email before it takes effect, and where we need your agreement we will ask for it before you carry on using Push. If you do not agree to a change, you may close your account before it takes effect. The version and date at the top of this page identify the wording in force.
19. General
- This agreement, with the documents it refers to, is the whole agreement between us about Push. You have not relied on anything not written in it, but this does not limit liability for fraud.
- We may transfer this agreement to anyone who takes over Push. You may not transfer it without our written agreement.
- If a court decides part of this agreement is unenforceable, the rest still applies, and the part concerned applies to the greatest extent the law allows.
- If we do not enforce a right straight away, we can still enforce it later.
- Nobody else has a right to enforce this agreement under the Contracts (Rights of Third Parties) Act 1999, except our directors and staff under section 16.
- We may send notices to the email address on your account. You may send notices to support@versatech.uk.
20. Law
This agreement, and any dispute or claim arising from it or its subject matter (including non-contractual ones), is governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
Push is run from the United Kingdom and you can use it from anywhere. If you coach from outside the UK, you are responsible for following the laws that apply where you and your clients are, including local data protection and consumer law.
